Digital Photo Licence Agreement

The Digital Photographs in the Photo Gallery of this website are copyright protected by the Hong Kong Special Administrative Region Government (HKSARG) and are available for use by the media in accordance with the terms of this Agreement. By downloading or reproducing in any form the Digital Photos (as defined below) from the website you agree to be bound by the terms of this Agreement.

If you are entering into this Agreement on behalf of your employer, the license granted and restrictions and limitations recited herein apply to your employer as well as to you as a representative of your employer. Should you cease working for your employer, your employer may continue to operate under this Agreement.

Grant of license
The HKSARG grants you, and your employer if you are licensing on behalf of your employer (hereinafter, collectively referred to as "You"), a non-exclusive, non-sub-licensable right to use any photos from the website's Photo Gallery.
The Digital Photos may be used by you as a part of:
(i) Online or other electronic distributions systems (including web page design) and broadcasts or theatrical exhibitions;
(ii) Any products (including for-sale products) or publications (electronic or print); or
(iii) Materials for personal, non-commercial use.
No other rights are granted except as specifically provided in this Agreement.
No Digital Photos or copies of them may be sub-licensed, resold or otherwise made available for use or distribution separately on stand-alone basis or detached from a product or web page except where it is for personal, non-commercial use.

Warranties
The HKSARG makes no warranty, express or implied, including, without limitation, any implied warranties of merchantability or fitness for a particular purpose. Neither the HKSARG nor its licensor shall be liable to You or any other person or entity for any general, special, direct, indirect, consequential, incidental or any other damages arising out of this license or otherwise.

Copyright and other Intellectual Property Rights
All rights to the Digital Photos in this Photo Gallery are owned by the HKSARG and protected by Hong Kong copyright laws, or the equivalent law in any country. The HKSARG and its licensor retain all rights not expressly granted by this agreement. The Digital Photos are licensed only to You. The copyright and all intellectual property rights in and to the Digital Photos are owned by the HKSARG. You agree not to assert any intellectual property rights against the HKSARG now or in the future.

Termination
The license contained in this Agreement will terminate automatically without notice from the HKSARG if You fail to comply with any provision of this Agreement. Upon termination, You must immediately:
(i) Stop using the Digital Photos; and
(ii) Delete any Digital Photos and all copies of all of them from all digital media and destroy all other copies or, upon request of the HKSARG, return all copies of the Digital Photos to the HKSARG.

Use of the Digital Photos
Use of the Digital Photos must be in compliance with all applicable laws. The HKSARG reserves the rights to discontinue the license for use of any Digital Photos for any reason, to remove any Digital Photos from the Website or to replace the Digital Photos with alternate Digital Photos. For the Digital Photos which are only licensed to the HKSARG, this license in relation to a particular Digital Photo will terminate as soon as the HKSARG’s license to use that particular Digital Photo is terminated. Upon notice of any discontinuance of license for any particular Digital Photo, You agree not to reproduce such Digital Photo in any form in the future.

Governing Laws
This Agreement will be governed in all respects by the laws of Hong Kong Special Administrative Region. The Courts of the Hong Kong Special Administrative Region shall have the non-exclusive jurisdiction to hear any disputes under this Agreement. Notwithstanding the foregoing, the HKSARG shall have the right to commence and prosecute any legal or equitable action or proceeding before any non-HKSAR court of competent jurisdiction to obtain injunctive or other relief in the event that, in the opinion of the Office, such action is necessary or desirable.
